According to the announcement from Wisdom Financial APP, Runhua Services (02455) has been informed by Mr. Luan Hangqian that the family trust arrangement was completed on October 14, 2024. Details are as follows:

Prior to the completion of the family trust arrangement, Mr. Luan Hangqian and his parents (Mr. Luan and Ms. Liang) held approximately 37.10%, 59.85%, and 3.05% equity respectively in Springrain Co., Ltd. Springrain directly held about 164.7 million shares of the company (accounting for approximately 54.90% of the total shares). According to the joint action confirmation agreement signed by Mr. Luan Hangqian, Mr. Luan, and Ms. Liang on June 18, 2021, they reaffirmed that they have been joint actors of the company prior to the date of the joint action confirmation agreement, and have acted accordingly thereafter. Therefore, based on their joint action arrangements and the Securities and Futures Ordinance, Springrain, Mr. Luan, Mr. Luan Hangqian, and Ms. Liang are each considered to hold approximately 54.90% equity in the shares.

Following the completion of the family trust arrangement and on the date of this announcement, the previously held 164.7 million shares of Springrain (accounting for approximately 54.90% of the total shares) have been transferred to Skywind. Skywind is owned 1% by Springrain and 99% by Sailing, which is fully owned by the trustee (as the trustee of the family trust). The shareholding of Mr. Luan Hangqian and his parents in Springrain remains unchanged.

The beneficiaries of the family trust are Mr. Luan Hangqian (a non-executive director of the company), Mr. Luan (a non-executive director of the company), Ms. Liang, and other close relatives of Mr. Luan Hangqian. CMB Wing Lung Trust Limited is the trustee of the family trust.

Following the completion of the family trust arrangement, the ownership structure of the company held by the family trust and Springrain is as follows:
