Ecolab Insider Lowered Holding By 28% During Last Year

Viewing insider transactions for Ecolab Inc.'s (NYSE:ECL ) over the last year, we see that insiders were net sellers. This means that a larger number of shares were sold by insiders in relation to shares purchased.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Ecolab Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Executive Vice President of Corporate Strategy & Business Development, Angela Busch, sold US$1.0m worth of shares at a price of US$184 per share. That means that even when the share price was below the current price of US$256, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 28% of Angela Busch's stake. Angela Busch was the only individual insider to sell shares in the last twelve months.

Angela Busch ditched 7.71k shares over the year. The average price per share was US$185. Insiders At Ecolab Have Bought Stock Recently

Over the last quarter, Ecolab insiders have spent a meaningful amount on shares. Specifically, Independent Lead Director David MacLennan bought US$156k worth of shares in that time, and we didn't record any sales whatsoever. That shows some optimism about the company's future.

Insider Ownership Of Ecolab

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Ecolab insiders own about US$70m worth of shares. That equates to 0.1% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Ecolab Insiders?

It's certainly positive to see the recent insider purchase. However, the longer term transactions are not so encouraging. We don't take much heart from transactions by Ecolab insiders over the last year. But they own a reasonable amount of the company, and there was some buying recently. Overall they seem reasonably aligned. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
