Looking at MaxLinear, Inc.'s (NASDAQ:MXL ) insider transactions over the last year, we can see that insiders were net buyers. That is, there were more number of shares purchased by insiders than there were sold.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

MaxLinear Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider purchase was by Co-Founder Kishore Seendripu for US$1.4m worth of shares, at about US$12.94 per share. Even though the purchase was made at a significantly lower price than the recent price (US$15.74), we still think insider buying is a positive. Because it occurred at a lower valuation, it doesn't tell us much about whether insiders might find today's price attractive.

Insiders At MaxLinear Have Sold Stock Recently

The last quarter saw substantial insider selling of MaxLinear shares. Specifically, insider William Torgerson ditched US$94k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. MaxLinear insiders own about US$106m worth of shares (which is 8.6% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

What Might The Insider Transactions At MaxLinear Tell Us?

An insider hasn't bought MaxLinear stock in the last three months, but there was some selling. In contrast, they appear keener if you look at the last twelve months. And insider ownership remains quite considerable. So we're not too bothered by recent selling. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
