Zhitong Finance learned that the U.S. oil pipeline operator エンリンクミッドストリーム(OKE.US) and EnLink Midstream(ENLC.US) have signed a final merger agreement, under which エンリンクミッドストリーム will acquire all outstanding common shares of EnLink for 4.3 billion U.S. dollars with エンリンク common shares.
According to the agreement, each EnLink common share unit not already held by エンリンクミッドストリーム will be converted into 0.1412 shares of エンリンク common stock. The exchange ratio is determined by dividing $15.75 per unit (equivalent to the closing price of EnLink on November 22, 2024) by エンリンク's 10-day volume weighted average price (VWAP).
Overall, エンリンクミッドストリーム will issue approximately 37 million shares of stock under the proposed transaction, representing 6.0% of エンリンク's total issued shares after the completion of the transaction.
