Possible Bearish Signals With JPMorgan Chase Insiders Disposing Stock

The fact that multiple JPMorgan Chase & Co. (NYSE:JPM) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At JPMorgan Chase

Over the last year, we can see that the biggest insider sale was by the Chairman & CEO, James Dimon, for US$150m worth of shares, at about US$183 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$250. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 9.6% of James Dimon's stake.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that JPMorgan Chase insiders own 0.4% of the company, worth about US$2.6b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

There haven't been any insider transactions in the last three months -- that doesn't mean much. While we feel good about high insider ownership of JPMorgan Chase, we can't say the same about the selling of shares.
