Simply Wall St ·  11/30 06:34

Some Atkore Inc. (NYSE:ATKR) shareholders may be a little concerned to see that the President, William Waltz, recently sold a substantial US$11m worth of stock at a price of US$93.95 per share. Probably the most concerning element of the whole transaction is that the disposal amounted to 60% of their entire holding.

Atkore Insider Transactions Over The Last Year

In fact, the recent sale by William Waltz was the biggest sale of Atkore shares made by an insider individual in the last twelve months, according to our records. So what is clear is that an insider saw fit to sell at around the current price of US$94.31. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insiders in Atkore didn't buy any shares in the last year. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. Insider Ownership Of Atkore

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Atkore insiders own 1.4% of the company, worth about US$45m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About Atkore Insiders?

Insiders sold Atkore shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Atkore. Case in point: We've spotted 2 warning signs for Atkore you should be aware of, and 1 of them makes us a bit uncomfortable.
