Over the past year, many Coterra Energy Inc. (NYSE:CTRA) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.
Coterra Energy Insider Transactions Over The Last Year
The VP & Chief Accounting Officer, Todd Roemer, made the biggest insider sale in the last 12 months. That single transaction was for US$1.5m worth of shares at a price of US$27.06 each. That means that an insider was selling shares at around the current price of US$25.66. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. We note that this sale took place at around the current price, so it isn't a major concern, though it's hardly a good sign.

Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Coterra Energy insiders own 1.4% of the company, currently worth about US$272m based on the recent share price. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.
