Andersons Insiders Sell US$7.5m Of Stock, Possibly Signalling Caution

The fact that multiple The Andersons, Inc. (NASDAQ:ANDE) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Andersons Insider Transactions Over The Last Year

Over the last year, we can see that the biggest insider sale was by the Chairman, Patrick Bowe, for US$1.9m worth of shares, at about US$55.46 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$46.14. So it may not tell us anything about how insiders feel about the current share price.

Insiders At Andersons Have Sold Stock Recently

The last three months saw significant insider selling at Andersons. Specifically, President of The Andersons Nutrient & Industrial Joseph McNeely ditched US$114k worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Does Andersons Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It appears that Andersons insiders own 5.1% of the company, worth about US$82m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The Andersons Insider Transactions Indicate?

An insider hasn't bought Andersons stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. But it is good to see that Andersons is growing earnings. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration.
