Insiders At AZZ Sold US$2.1m In Stock, Alluding To Potential Weakness

Over the past year, many AZZ Inc. (NYSE:AZZ) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

AZZ Insider Transactions Over The Last Year

The Chief Operating Officer of Metal Coatings Segment, Bryan Stovall, made the biggest insider sale in the last 12 months. That single transaction was for US$1.2m worth of shares at a price of US$84.79 each. That means that an insider was selling shares at slightly below the current price (US$95.40). We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 42% of Bryan Stovall's holding.

Over the last year, we can see that insiders have bought 2.29k shares worth US$79k. But insiders sold 24.31k shares worth US$2.1m. Insider Ownership

Many investors like to check how much of a company is owned by insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. AZZ insiders own about US$62m worth of shares. That equates to 2.2% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
