Over the past year, many Reddit, Inc. (NYSE:RDDT) insiders sold a significant stake in the company which may have piqued investors' interest. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.
While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.
The Last 12 Months Of Insider Transactions At Reddit
The Chief Operating Officer, Jennifer Wong, made the biggest insider sale in the last 12 months. That single transaction was for US$17m worth of shares at a price of US$32.30 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$174. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 23% of Jennifer Wong's stake.
In the last twelve months insiders purchased 13.00k shares for US$442k. On the other hand they divested 1.55m shares, for US$59m. All up, insiders sold more shares in Reddit than they bought, over the last year. The chart below shows insider transactions (by companies and individuals) over the last year. Insiders At Reddit Have Sold Stock Recently
The last quarter saw substantial insider selling of Reddit shares. In total, insiders dumped US$4.1m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
Insider Ownership
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Reddit insiders own about US$1.4b worth of shares (which is 4.5% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
So What Do The Reddit Insider Transactions Indicate?
Insiders sold stock recently, but they haven't been buying. And our longer term analysis of insider transactions didn't bring confidence, either. While insiders do own a lot of shares in the company (which is good), our analysis of their transactions doesn't make us feel confident about the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Every company has risks, and we've spotted 2 warning signs for Reddit you should know about.
