The fact that multiple Floor & Decor Holdings, Inc. (NYSE:FND) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Floor & Decor Holdings

In the last twelve months, the biggest single sale by an insider was when the Independent Chairman of the Board, Norman Axelrod, sold US$8.5m worth of shares at a price of US$123 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$97.70. So it is hard to draw any strong conclusion from it.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Floor & Decor Holdings insiders own about US$152m worth of shares (which is 1.4% of the company). This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About Floor & Decor Holdings Insiders?

It doesn't really mean much that no insider has traded Floor & Decor Holdings shares in the last quarter. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Floor & Decor Holdings insiders selling. Therefore, you should definitely take a look at this FREE report showing analyst forecasts for Floor & Decor Holdings.
