Possible Bearish Signals With Belden Insiders Disposing Stock

Simply Wall St ·  Sep 22, 2023 08:15

A number of Belden Inc. (NYSE:BDC) insiders sold their shares in the last year, which may have raised concerns among investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we would consider it foolish to ignore insider transactions altogether.

Belden Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the insider, Anshuman Mehrotra, sold US$379k worth of shares at a price of US$86.99 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$94.47. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was 88% of Anshuman Mehrotra's holding.

Insider Ownership Of Belden

Many investors like to check how much of a company is owned by insiders. We usually like to see fairly high levels of insider ownership. Belden insiders own about US$57m worth of shares. That equates to 1.4% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Belden Insiders?

It doesn't really mean much that no insider has traded Belden shares in the last quarter. We don't take much encouragement from the transactions by Belden insiders. But we do like the fact that insiders own a fair chunk of the company. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
