Toronto, Ontario--(Newsfile Corp. - October 13, 2023) - Xigem Technologies Corporation (CSE: XIGM) (FSE: VZ6) ("Xigem" or the "Company"), announces that it intends to enter into agreements with certain of its creditors to issue common shares (the "Settlement Shares") to such creditors in exchange for outstanding accounts payable (the "Shares for Debt Transaction") owing to certain creditors (the "Creditors"). The Settlement Shares will be issued at a price of $0.03, in accordance with the policies of the Canadian Securities Exchange (the "CSE"). Creditors include but are not limited to insiders of the Company. The Company will be completing the Shares for Debt Transaction to improve its financial position in an effort to support its planned future growth.

Further, the Company may issue shares pursuant to a private placement at a price of $0.03 per unit. Each unit would consist of 1 common share of the Company, and 1 whole warrant entitling the holder of each warrant to purchase a common share of the Company at a price of $0.06 for up to 24 months (the "Private Placement Shares"). The Private Placement Shares would be issued in accordance with the policies of the CSE. Private Placement Shares may be issued to certain insiders of the Company.

All Settlement Shares and Private Placement Shares will be subject to a four-month and one-day hold period. The Shares for Debt Transaction and the issuance of Private Placement Shares, if any, remains subject to CSE acceptance. No new control person of the Company will be created pursuant to the Shares for Debt Transaction or the issuance of Private Placement Shares, if any. The Company intends to rely upon certain exemptions from the valuation and security holder approval requirements of MI 61-101 and will provide full details in any closing press release.
