Greif Insiders Sold US$1.9m Of Shares Suggesting Hesitancy

Simply Wall St ·  Oct 25, 2023 09:15

The fact that multiple Greif, Inc. (NYSE:GEF) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Greif

The Executive VP & CFO, Lawrence Hilsheimer, made the biggest insider sale in the last 12 months. That single transaction was for US$885k worth of shares at a price of US$60.61 each. That means that even when the share price was below the current price of US$62.45, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 13% of Lawrence Hilsheimer's holding.

In total, Greif insiders sold more than they bought over the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. By clicking on the graph below, you can see the precise details of each insider transaction!

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Greif insiders own about US$1.1b worth of shares (which is 37% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Do The Greif Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Greif shares in the last quarter. While we feel good about high insider ownership of Greif, we can't say the same about the selling of shares. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing. For instance, we've identified 2 warning signs for Greif (1 is a bit concerning) you should be aware of.
