Don't Ignore The Insider Selling In Carter's
Don't Ignore The Insider Selling In Carter's
We wouldn't blame Carter's, Inc. (NYSE:CRI) shareholders if they were a little worried about the fact that Brian Lynch, the President & COO recently netted about US$841k selling shares at an average price of US$70.11. That sale reduced their total holding by 11% which is hardly insignificant, but far from the worst we've seen.

Carter's Insider Transactions Over The Last Year
Notably, that recent sale by Brian Lynch is the biggest insider sale of Carter's shares that we've seen in the last year. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$70.33. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 11% of Brian Lynch's holding.

Insider Ownership Of Carter's
Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 3.2% of Carter's shares, worth about US$83m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
