Fiserv Insiders Sold US$5.4m Of Shares Suggesting Hesitancy

The fact that multiple Fiserv, Inc. (NYSE:FI) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

Fiserv Insider Transactions Over The Last Year

The Chief Operating Officer, Guy Chiarello, made the biggest insider sale in the last 12 months. That single transaction was for US$3.0m worth of shares at a price of US$116 each. That means that an insider was selling shares at slightly below the current price (US$125). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was only 14% of Guy Chiarello's holding.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that Fiserv insiders own 0.6% of the company, worth about US$426m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Fiserv Insiders?

The fact that there have been no Fiserv insider transactions recently certainly doesn't bother us. It's heartening that insiders own plenty of stock, but we'd like to see more insider buying, since the last year of Fiserv insider transactions don't fill us with confidence. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
