Possible Bearish Signals With SM Energy Insiders Disposing Stock

Simply Wall St ·  Dec 6, 2023 06:07

Many SM Energy Company (NYSE:SM) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

SM Energy Insider Transactions Over The Last Year

The Independent Chairman of the Board, Julio Quintana, made the biggest insider sale in the last 12 months. That single transaction was for US$1.9m worth of shares at a price of US$42.06 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$36.17. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership Of SM Energy

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. SM Energy insiders own about US$82m worth of shares. That equates to 1.9% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
