Possible Bearish Signals With CSW Industrials Insiders Disposing Stock

Simply Wall St ·  Dec 23, 2023 09:41

The fact that multiple CSW Industrials, Inc. (NASDAQ:CSWI) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

Check out our latest analysis for CSW Industrials

The Last 12 Months Of Insider Transactions At CSW Industrials

Over the last year, we can see that the biggest insider sale was by the Chairman, Joseph Armes, for US$1.5m worth of shares, at about US$184 per share. That means that an insider was selling shares at slightly below the current price (US$207). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 13% of Joseph Armes's holding.

Does CSW Industrials Boast High Insider Ownership?

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. CSW Industrials insiders own about US$41m worth of shares. That equates to 1.3% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.
