Possible Bearish Signals With Wayfair Insiders Disposing Stock

Possible Bearish Signals With Wayfair Insiders Disposing Stock

Wayfair
Simply Wall St ·  01/22 07:17

In the last year, many Wayfair Inc. (NYSE:W) insiders sold a substantial stake in the company which may have sparked shareholders' attention. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Wayfair Insider Transactions Over The Last Year

The Chief Technology Officer, Fiona Tan, made the biggest insider sale in the last 12 months. That single transaction was for US$950k worth of shares at a price of US$56.59 each. That means that an insider was selling shares at around the current price of US$56.13. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Wayfair Insiders Are Selling The Stock

Wayfair

Over the last three months, we've seen significant insider selling at Wayfair. In total, insiders sold US$2.9m worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.

Insider Ownership Of Wayfair

Wayfair

For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. It's great to see that Wayfair insiders own 25% of the company, worth about US$1.6b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.
