Possible Bearish Signals With Ferguson Insiders Disposing Stock

In the last year, many Ferguson plc (NYSE:FERG) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Ferguson Insider Transactions Over The Last Year

The Group CEO & Executive Director, Kevin Murphy, made the biggest insider sale in the last 12 months. That single transaction was for US$2.9m worth of shares at a price of US$166 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$199. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 12% of Kevin Murphy's holding.

Insider Ownership Of Ferguson

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Ferguson insiders own about US$50m worth of shares. That equates to 0.1% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
