Workiva Insiders Sold US$4.8m Of Shares Suggesting Hesitancy

Workiva Insiders Sold US$4.8m Of Shares Suggesting Hesitancy

Workiva Insiders

The fact that multiple Workiva Inc. (NYSE:WK) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Workiva

Workiva

In the last twelve months, the biggest single sale by an insider was when the Executive VP & CFO, Jill Klindt, sold US$1.4m worth of shares at a price of US$90.20 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$95.97. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 43% of Jill Klindt's holding.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. Workiva insiders own 10% of the company, currently worth about US$544m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

So What Does This Data Suggest About Workiva Insiders?

An insider hasn't bought Workiva stock in the last three months, but there was some selling. And even if we look at the last year, we didn't see any purchases. The company boasts high insider ownership, but we're a little hesitant, given the history of share sales.
