Don't Ignore The Insider Selling In Criteo

We wouldn't blame Criteo S.A. (NASDAQ:CRTO) shareholders if they were a little worried about the fact that Megan Clarken, the CEO & Director recently netted about US$1.2m selling shares at an average price of US$32.69. However, that sale only accounted for 7.1% of their holding, so arguably it doesn't say much about their conviction.

The Last 12 Months Of Insider Transactions At Criteo

Notably, that recent sale by CEO & Director Megan Clarken was not the only time they sold Criteo shares this year. They previously made an even bigger sale of -US$3.2m worth of shares at a price of US$30.89 per share. That means that even when the share price was below the current price of US$32.97, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 19% of Megan Clarken's holding.

Insider Ownership Of Criteo

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Criteo insiders own about US$43m worth of shares. That equates to 2.4% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Criteo Insiders?

Insiders haven't bought Criteo stock in the last three months, but there was some selling. Despite some insider buying, the longer term picture doesn't make us feel much more positive. On the plus side, Criteo makes money, and is growing profits. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
