Insiders At Tri Pointe Homes Sold US$1.5m In Stock, Alluding To Potential Weakness

Simply Wall St ·  Mar 1 01:17

Over the past year, many Tri Pointe Homes, Inc. (NYSE:TPH) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Tri Pointe Homes

The CFO, Chief Accounting Officer & Treasurer, Glenn Keeler, made the biggest insider sale in the last 12 months. That single transaction was for US$707k worth of shares at a price of US$33.01 each. That means that even when the share price was below the current price of US$34.49, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 30% of Glenn Keeler's stake.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Tri Pointe Homes insiders own 2.3% of the company, worth about US$77m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
