Timken Insiders Sell US$5.6m Of Stock, Possibly Signalling Caution
In the last year, many The Timken Company (NYSE:TKR) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.
Timken Insider Transactions Over The Last Year
In the last twelve months, the biggest single sale by an insider was when the President, Richard Kyle, sold US$1.8m worth of shares at a price of US$77.21 per share. That means that even when the share price was below the current price of US$86.30, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 6.3% of Richard Kyle's holding.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that Timken insiders own 4.9% of the company, worth about US$297m. Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

It doesn't really mean much that no insider has traded Timken shares in the last quarter.
