GE HealthCare Technologies Repeat Insider Selling Not A Positive Indicator

Simply Wall St ·  Mar 15 21:33

A number of GE HealthCare Technologies Inc. (NASDAQ:GEHC) insiders sold their shares in the last year, which may have raised concerns among investors. When evaluating insider transactions, knowing whether insiders are buying versus if they selling is usually more beneficial, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At GE HealthCare Technologies

The CEO of Ultrasound, Roland Rott, made the biggest insider sale in the last 12 months. That single transaction was for US$191k worth of shares at a price of US$77.37 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$88.33. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was 97% of Roland Rott's holding.

In the last year GE HealthCare Technologies insiders didn't buy any company stock. The chart below shows insider transactions (by companies and individuals) over the last year. Insider Ownership Of GE HealthCare Technologies

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. GE HealthCare Technologies insiders own about US$25m worth of shares. That equates to 0.06% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About GE HealthCare Technologies Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at GE HealthCare Technologies in the last 12 months are not very heartening. But we do like the fact that insiders own a fair chunk of the company. While we like knowing what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
