The company received the “Decision on Issuing Warning Letter Measures against Shandong Lianchuang Industrial Development Group Co., Ltd. and related personnel” issued by the China Securities Regulatory Commission. The details are as follows:

According to the “Notice on Response to the Letter of Concern on the Shenzhen Stock Exchange” disclosed by the company on January 31, 2024, the company signed a “Memorandum of Strategic Cooperation” with Beijing CITIC Huitong Investment Management Center (Limited Partnership) (hereinafter referred to as Beijing Credit Investment) on March 25, 2019. Beijing Credit Investment plans to increase the capital of the company's holding subsidiary Shandong Huaan New Materials Co., Ltd. (hereinafter referred to as Huaan New Materials), with a cumulative amount of no more than 380 million yuan, and then signed the “Capital Increase and Stock Expansion Agreement” on March 29, 2019. As of December 31, 2019, Beijing Credit Investment actually paid a capital increase of 88.88 million yuan in accordance with the agreement and obtained 9.999% of Huaan New Materials shares. The company only disclosed the “Notice Concerning the Signing of the Memorandum of Strategic Cooperation” on April 9, 2019, and did not promptly disclose the signing of the “Memorandum of Strategic Cooperation” and the actual subsequent capital increase.

The above acts violate the relevant provisions of Articles 2, 30, 32, and 33 of the “Administrative Measures on Information Disclosure of Listed Companies” (Securities Regulatory Commission Order No. 40). According to Article 58 of the “Administrative Measures on Information Disclosure of Listed Companies” (Securities Regulatory Commission Order No. 40), Li Hongguo, then chairman of the company, Qi Haiying, then president, and Hu Anzhi, then secretary of the board of directors, shall bear the main responsibilities.

According to Article 59 of the “Administrative Measures on Information Disclosure of Listed Companies” (Securities Regulatory Commission Order No. 40), the Shandong Securities Regulatory Bureau decided to take supervisory and administrative measures to issue warning letters against the company, Li Hongguo, Qi Haiying, and Hu Anzhi, and record them in the securities and futures market integrity file database.
