Those following along with Nerdy, Inc. (NYSE:NRDY) will no doubt be intrigued by the recent purchase of shares by Charles Cohn, Founder of the company, who spent a stonking US$958k on stock at an average price of US$1.68. There's no denying a buy of that magnitude suggests conviction in a brighter future, although we do note that proportionally it only increased their holding by 5.1%.

The Last 12 Months Of Insider Transactions At Nerdy

In fact, the recent purchase by Charles Cohn was the biggest purchase of Nerdy shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to buy, at around the current price, which is US$1.80. Of course they may have changed their mind. But this suggests they are optimistic. If someone buys shares at well below current prices, it's a good sign on balance, but keep in mind they may no longer see value. Happily, the Nerdy insider decided to buy shares at close to current prices. Charles Cohn was the only individual insider to buy shares in the last twelve months.

Insider Ownership

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Nerdy insiders own 8.8% of the company, worth about US$28m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Do The Nerdy Insider Transactions Indicate?

The recent insider purchase is heartening. We also take confidence from the longer term picture of insider transactions. But we don't feel the same about the fact the company is making losses. Insiders likely see value in Nerdy shares, given these transactions (along with notable insider ownership of the company). While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
