(referred to as "Optics Valley Health Investment") to establish a joint venture company, Wuhan Optics Valley Da Health Medical Services Co., Ltd. The registered capital of the joint venture company is RMB 100 million, of which the company plans to use its own funds to subscribe RMB 80 million, holding 80.00% of the shares. Optics Valley Health Investment will subscribe RMB 20 million and hold 20.00% of the shares.
From early 2024 to now, Mr. Tan Pingtao and Ms. Hu Xiaoyan, the controlling shareholder and actual controller, have provided new guarantee contract amounts of RMB 8088.974 million to the company. Among them, RMB 7600.00 million is the actual controller's unlimited joint and several liability guarantee provided to banks for the company and its subsidiaries to apply for comprehensive credit; RMB 488.974 million is entrusted by the company to a third party to provide guarantees for various types of guarantees issued by the company to financial institutions, and the actual controller provides counter-guarantees to the third-party company, and the company is exempt from paying the counter-guarantee fees.
