On June 21st, GeLongHui reported that China Environmental Land (301040.SZ) received the "Notice on the Decision to Issue a Warning Letter to Zhangjiagang China Environmental Land High-end Equipment Co., Ltd. and Zhongyu by the Jiangsu Regulatory Bureau of the China Securities Regulatory Commission (CSRC)" (No. [2024] 103) recently. The specific content of the warning letter is as follows:

Zhangjiagang China Environmental Land's first performance forecast differed greatly from actual performance, and the profit and loss nature changed. The inaccurate performance forecast violated Article 3, Paragraph 1 of the "Measures for the Administration of Information Disclosure of Listed Companies" (CSRC Order No. 182, hereinafter referred to as the "Disclosure Management Measures") .

The finance department of China Environmental Land failed to accurately predict the company's operating performance in 2023, resulting in inaccurate disclosure of the first performance forecast information. Zhongyu, as the finance director and board secretary of China Environmental Land, failed to faithfully and diligently fulfill his duties, violating Article 4 of the Disclosure Management Measures and being mainly responsible for the above-mentioned violation by China Environmental Land. In accordance with Article 52 of the Disclosure Management Measures, our bureau has decided to issue a warning letter to you as administrative supervisory measures. You should attach great importance, strictly abide by the laws, administrative regulations and relevant regulations of the CSRC, improve the internal control system, enhance the level of corporate governance, strengthen information disclosure management, and fulfill the obligations of information disclosure seriously. Within 10 working days of receiving this decision, you should submit a written report to our bureau. All directors, supervisors, and senior management should strengthen their study of securities-related laws and regulations, and effectively improve their awareness of compliance and ability to perform their duties.
