Wingtech Technology (600745.SH) announced on June 28 that the company's controlling shareholder and actual controller received a "Notice of Administrative Punishment in Advance" issued by the China Securities Regulatory Commission. According to the investigation by the China Securities Regulatory Commission, the main illegal facts involving Wen Tianxia, Zhang Xuezheng, and Fu Lina are as follows:

(1) Fu Lina actually controlled and used the "Maohuiying" account.

The "Maohuiying" account was actually controlled and used by Fu Lina. In 2017, Maohuiying bought 43 million shares of Wingtech Technology Co., Ltd. (formerly known as Zhongyin Stock Co., Ltd.) and became one of Wingtech Technology's top ten shareholders. After August 2019, it sold all the Wingtech Technology shares it held.

(2) Wen Tianxia, Zhang Xuezheng and Fu Lina are concerted actors.

Wen Tianxia helped Fu Lina with financing from relevant institutions for the purchase of Wingtech Technology, while Zhang Xuezheng had economic interests and other related relationships such as partnerships and collaborations with Fu Lina.

(3) Wen Tianxia, Zhang Xuezheng and Fu Lina are suspected of violating laws and regulations on information disclosure, resulting in significant omissions in Wingtech Technology's annual reports for 2017, 2018 and 2019.

Wen Tianxia, Zhang Xuezheng and Fu Lina failed to report the concerted action relationship truthfully to the listed company, resulting in a significant omission of the disclosure of the top ten shareholders' concerted action relationship in Wingtech Technology's aforementioned periodic reports.

The China Securities Regulatory Commission intends to decide: (1) to order Wen Tianxia, Zhang Xuezheng, and Fu Lina to make corrections, give warnings, and impose fines of 5 million yuan each; (2) to give Zhang Xuezheng, the person in charge directly responsible for Wen Tianxia, a warning and impose a fine of 3 million yuan.
