Kingmaker (01170) announced that Mr. Tan Jingzheng will retire on a rotating basis at the company's shareholders' annual meeting to be held on August 28, 2024, and he has decided not to seek reappointment at the shareholders' annual meeting due to his intention to devote more time to other work, in accordance with the company's regulations. Therefore, Mr. Tan Jingzheng will retire from the positions of independent non-executive Director, chairman of the Audit Committee, and member of the Remuneration Committee and Nomination Committee of the board of directors after the conclusion of the shareholders' annual meeting (i.e. August 28, 2024).
Based on the group's nomination policy, the Nomination Committee has recommended and the Board of Directors has proposed the appointment of Mr. Luo Jiakang as an independent non-executive Director, effective from the conclusion of the shareholders' annual meeting. Mr. Luo Jiakang's appointment shall be approved by the company's shareholders at the shareholders' annual meeting by ordinary resolution. If approved, it will take effect from the conclusion of the shareholders' annual meeting (i.e. August 28, 2024).
After Mr. Tan Jingzheng's retirement and Mr. Luo Jiakang's appointment are approved by the company's shareholders at the shareholders' annual meeting, Mr. Luo Jiakang will be appointed as a member of the Audit Committee, Remuneration Committee, and Nomination Committee of the board of directors.
After Mr. Tan Jingzheng's retirement, Ms. Chen Meibao will be appointed as the chairman of the Audit Committee of the board of directors.
