On July 1st, Gelunhui reported that Huaweikeji (001380.SZ) announced the 2024 employee stock ownership plan (draft). The stocks for this employee stock ownership plan will come from the shares already repurchased by the company in the dedicated securities account for repurchase. After the employee stock ownership plan is approved by the company's shareholders' meeting, the shares held by the company's repurchase dedicated securities account will be acquired and held through legal means such as non-trade transfer, totaling no more than 456,600 shares, accounting for 0.25% of the current total share capital of the company. The specific number of shares held will be determined by the actual amount of capital contributed by the employee, and the company will fulfill its information disclosure obligations in a timely manner as required.

This employee stock ownership plan acquires the company's stocks held by the account dedicated to the repurchase of securities by the company, with an acquisition price of 9.79 Yuan per share.

The total amount of self-raised funds for this employee stock ownership plan does not exceed RMB 4,470,100, with "shares" as the subscription unit and each share unit being RMB 1.00. The upper limit of the number of shares for this employee stock ownership plan is 4,470,100.

The participants of this employee stock ownership plan are core management personnel and key backbone employees who have a direct impact on the overall performance and sustainable development of the company, as recognized by the board of directors. The total number of employees participating in the employee stock ownership plan shall not exceed 30, and directors, supervisors, and senior management personnel shall not participate in this plan. The specific number of participants shall be determined according to the actual situation.

The term of this employee stock ownership plan is 48 months, starting from the day when the last target stock is transferred to the name of this employee stock ownership plan as announced by the company. The lock-up period for the target stocks acquired by this employee stock ownership plan is 12 months, starting from the day when the last target stock is transferred to the name of this employee stock ownership plan as announced by the company.
