Dongfang Zhongke (002819.SZ) announced that, in 2021, the company acquired a 78.33% stake in Beijing Wanlihong Technology Co., Ltd. ('Wanlihong') by issuing shares to purchase assets, and 20 other trading partners, including Wanli Jincheng Venture Capital Co., Ltd. ('Wanli Jincheng'), had made commitments to Wanlihong's performance from 2020 to 2023, and agreed to compensate the company if the performance commitment was not met.
Wanlihong did not fulfill its performance commitment in 2023, and was supposed to compensate the performance commitment as agreed. However, as of the date of this announcement, 14 performance commitment parties do not agree to cooperate with the company to fulfill their performance commitment compensation obligations, and 1 performance commitment party has not fully cooperated with the company to fulfill its performance commitment compensation obligations. In order to protect the legitimate rights and interests of the listed company and all shareholders, especially small and medium-sized shareholders, the company plans to recover the losses from the performance commitment parties. Among them, the company plans to initiate arbitration against the 14 performance commitment parties who do not agree to cooperate with the company to fulfill their performance commitment compensation obligations, and actively communicate and pursue the recovery from the 1 performance commitment party who has not fully cooperated with the company to fulfill its performance commitment compensation obligations. If the subsequent communication and pursuit are unsuccessful, the company will also resort to arbitration to further pursue the recovery.
