On July 4th, 2024, DeStone Co., Ltd. (301158.SZ) announced that the company held the sixth meeting of the third board of directors and reviewed and approved the proposal on cash acquisition of 70% equity of IAE International Inc., a company based in the United States that is held by Roxanne Howe, and capital increase. The company intends to acquire 70% equity of the target company through cash payment on completion of the transaction, with a total acquisition price of approximately USD 4.9 million. The final transaction amount will be confirmed upon actual delivery. After the completion of this transaction, the company will hold 70% of the equity of the target company, and the target company will be included in the company's consolidated financial statements. After the delivery, the company and Roxanne Howe will make a capital increase with a total amount of USD 2 million to the target company in proportion to their respective shareholdings. The company will contribute USD 1.4 million and Roxanne Howe will contribute USD 0.6 million to the capital increase, which will be used to support the future business development of the target company. The total amount of the above-mentioned transaction is USD 6.3 million.
