Tianjin Bank (01578) has announced that the Board of Directors has approved a proposal to appoint Mr. Gu Chaoyang as the independent non-executive director of the seventh board of directors. According to the company's articles of association, the appointment of an independent non-executive director requires approval of the shareholders at the general meeting, as well as recognition of qualification by the Tianjin Regulatory Bureau of the China Banking and Insurance Regulatory Commission. Starting from the day when Mr. Gu's eligibility as independent non-executive director is officially recognized by the Tianjin Regulatory Bureau, he will serve as the Chairman of the Board's Inclusive Finance and Consumer Rights Protection Committee, a member of the Board's Audit Committee, and a member of the Board's Related-Party Transaction Control Committee.
The proposal to appoint Ms. Chen Yanhong as the independent non-executive director of the Board of Directors, the chairman of the Related-Party Transaction Control Committee, and a member of the Risk Management Committee of the Board of Directors will take effect from the date when it is approved by the regulatory authority. Tianjin Bank has recently received notification from Ms. Chen Yanhong that due to personal work arrangements, she cannot serve as the independent non-executive director and related specialized committee member of the seventh Board of Directors. Her resignation will take effect from the date of this announcement. The Bank has applied to the regulatory authorities to withdraw the request for approval of Ms. Chen Yanhong's qualification as an independent non-executive director.
