(TSXV: ARU) (OTCQB: AUIAF) (FSE: 20Q) ("Aurania" or the "Company") announces that further to its news releases dated March 28, 2024, and July 2, 2024, the Company wishes to clarify certain terms relating to the grant of options to directors in lieu of cash fees.

Certain Directors (the "Optionees") of the Company have agreed to receive their quarterly director fees for 2024 in the form of stock options in lieu of cash. As announced on March 28, 2024, an aggregate of 94,000 stock options at an exercise price of $0.25 were granted to certain Optionees in lieu of their directors fees for the first financial quarter of 2024, and as announced on July 2, 2024, an aggregate of 54,000 stock options at an exercise price of $0.46 were granted to certain Optionees in lieu of their director fees for the second financial quarter of 2024.

All such options will be exercisable for a period of three years from the date of grant and vested immediately upon grant. In the event an Optionee intends to exercise such Options, such Optionee shall be solely responsible for paying the entirety of the exercise price.
