(hereinafter referred to as "ULICA"). The full payment for this transaction will be completed in three years. The transfer fee of 14 million yuan will be paid in the first year, 10 million yuan will be paid in the second year, and 10 million yuan will be paid in the third year.
Xintonghui, a subsidiary of Shanghai Eureka Optoelectronics Technology Co., Ltd. (hereinafter referred to as "Xintonghui"), holds 96.02% of Eureka's shares. The company indirectly holds 40.19% of Eureka's shares through Xintonghui (the company directly holds 41.86% equity of Xintonghui). Ms. Zhao Yan, director and deputy general manager, is appointed as director and general manager of Eureka, and Mr. Yang Ligong, deputy general manager, is appointed as director of Eureka. This transaction constitutes a related party transaction but does not constitute a major asset restructuring as stipulated in the "Administrative Measures for Major Asset Restructuring of Listed Companies", and there are no significant legal barriers to the implementation of the transaction.
