Possible Bearish Signals With Varonis Systems Insiders Disposing Stock

Possible Bearish Signals With Varonis Systems Insiders Disposing Stock

Varonis
Simply Wall St ·  13:00

In the last year, many Varonis Systems, Inc. (NASDAQ:VRNS) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Varonis Systems

Varonis

Over the last year, we can see that the biggest insider sale was by the Co-Founder, Yakov Faitelson, for US$13m worth of shares, at about US$45.23 per share. That means that even when the share price was below the current price of US$49.57, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was only 31% of Yakov Faitelson's holding.

Over the last year we saw more insider selling of Varonis Systems shares, than buying. The average sell price was around US$44.58. It's not particularly great to see insiders were selling shares at below recent prices. But we wouldn't put too much weight on the insider selling. You can see a visual depiction of insider transactions (by companies and individuals) over the last 12 months, below. If you click on the chart, you can see all the individual transactions, including the share price, individual, and the date!
