According to Sections 462 and 578 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) (the "Company Ordinance"), a special general meeting ("SGM") of shareholders of certain subsidiaries of the company was held at 35/F, Wu Chung House, 199 Des Voeux Road Central, Hong Kong on 11 July 2024, wherein Mr. Fung Tin Cheung and Mr. Chan Sze Leung were removed from office as directors of the relevant subsidiaries by ordinary resolutions.
Mr. Fung Tin Cheung and Mr. Chan Sze Leung were absent from the SGM of the relevant subsidiaries. Their written statements made under Section 463 of the Company Ordinance, dated 26 June 2024 and 10 July 2024, respectively, were read out at the SGM. Immediately after the ordinary resolutions were passed at the SGM, Mr. Fung Tin Cheung and Mr. Chan Sze Leung were removed from office as directors of the relevant subsidiaries and the removal takes effect immediately.
