Possible Bearish Signals With SPS Commerce Insiders Disposing Stock

Possible Bearish Signals With SPS Commerce Insiders Disposing Stock

SPS Commerce

Many SPS Commerce, Inc. (NASDAQ:SPSC) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At SPS Commerce

SPS Commerce

The insider, Archie Black, made the biggest insider sale in the last 12 months. That single transaction was for US$4.3m worth of shares at a price of US$186 each. That means that an insider was selling shares at slightly below the current price (US$202). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. It is worth noting that this sale was 88% of Archie Black's holding.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It appears that SPS Commerce insiders own 0.8% of the company, worth about US$57m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
