(hereinafter referred to as "Zhongtian Jingyi"), intends to acquire Shenzhen Tianjingdiyi Enterprise Management Co., Ltd. (hereinafter referred to as "Tianjingdiyi")'s 49% equity held by Shenzhen Huayu Times Technology Co., Ltd (hereinafter referred to as "Huayu Times") in cash, and Tianjingdiyi's 2% equity held by Shenzhen Zhongjing Dayou Equity Investment Fund Management Co., Ltd. (hereinafter referred to as "Shenzhen Zhongjing Dayou"), and acquire 48.5% and 12.1261% of the property rights of Shenzhen Jingtianweidi Enterprise Management Partnership Enterprise (Limited Partnership) (hereinafter referred to as "Jingtianweidi"), held by Tianjingdiyi and Suzhou Weicheng Technology Service Co., Ltd. (hereinafter referred to as "Suzhou Weicheng"), respectively. At the same time, Zhongtian Jingyi intends to acquire 52% property rights (hereinafter referred to as the "Transaction") of Dongyang Zhongjing Kerui Equity Investment Partnership Enterprise (Limited Partnership) (hereinafter referred to as "Zhongjing Kerui") held by Shenzhen Zhongjing Dayou.
After the completion of the transaction, the listed company will indirectly hold 33.3784% equity of KRS Semiconductor Technology (Dongyang) Co., Ltd. (hereinafter referred to as "KRS"), which does not constitute control over KRS by the listed company but has a significant impact on it. Long-term equity investment formed by this investment will be accounted for using equity method. If KRS incurs losses, it will have a negative impact on the current business performance indicators of the listed company.
