On July 23, Gtja (02611.HK) announced that in accordance with the restricted stock incentive plan of A shares and the authorization of the temporary shareholders' meeting, a total of 880,196 restricted A shares were cancelled on May 27, 2024, and the company's registered capital was subsequently reduced to RMB 8,903,730,620. The company has completed the registration change of its registered capital with the Shanghai Market Supervision Administration.
To reflect the above changes in the company's equity, it is proposed to amend the relevant provisions of the company's articles of association. The details of the proposed amendment to the company's articles of association are set out in the appendix to this announcement. In accordance with the relevant proposals approved at the first temporary shareholders' meeting of 2024, the first category A shareholders' meeting of 2024, and the first category H shareholders' meeting of 2024 held on March 20, 2024, the management is authorized to make corresponding amendments to the company's articles of association and perform related procedures after the cancellation of the restricted A shares in this announcement. Therefore, the proposed amendment to the company's articles of association does not require shareholder approval.
