(AAC Investment), Indirect wholly-owned subsidiary of AAC Tech, and Chenrui Optics and Shenzhen Huiyouhaocreate Technology Investment Partnership Enterprise (limited partnership) (Shenzhen Huiyou) and Nanjing Huairui Ruijun Venture Capital Center (limited partnership) (Nanjing Huairui) respectively entered into share transfer agreements, Shenzhen Huiyou and Nanjing Huairui agreed to sell, and AAC Investment agreed to buy 60.1764 million shares and 35.1029 million optical shares, equivalent to approximately 0.8890% and 0.5186% of the total number of optical shares, with the respective prices of approximately RMB 1.49 billion yuan and RMB 87 million yuan.
After completion, Shenzhen Huiyou and Nanjing Huairui will no longer hold any optical shares, and Chenrui Optics will be indirectly owned by the Company through AAC Zhizao, AAC Hong Kong and AAC Investment to hold approximately 89.6696%; the stock-based incentive platform of Chenrui Optics holds 2%; and the remaining three investors of Chenrui Optics shareholder hold approximately 8.3304% in total.
