On July 30, 2024, Kehui Investment signed a "Share Transfer Agreement" with its shareholder Ru Fei to transfer 9.5 million shares of the company's unrestricted circulating shares directly held by Kehui Investment at a price of RMB 26.40/share. This agreement transfer does not trigger a tender offer and will not cause any change in the company's controlling shareholder or actual controller.
After the equity change, Kehui Investment holds 16,950,000 shares of the company, accounting for 12.53% of the total share capital, and Ru Fei holds 17,500,000 shares of the company directly, accounting for 12.93% of the total share capital. As Ru Fei holds 43.00% of the shares of Kehui Investment, Ru Fei and Kehui Investment are concerted action persons with unchanged total shareholding and proportion, and have not involved in reducing holdings to the market.
