On July 24, 2024 at 4:30 p.m., Hengdeli (03389.HK) announced that the acceptance condition has been met and some offers have been accepted unconditionally.
As of 4:00 p.m. on the date of this joint announcement, the offeror has received: (i) valid acceptance of a total of 0.972 billion shares under the offer, equivalent to approximately 22.06% of the issued shares as of the last practicable date and the date of this joint announcement, and (ii) valid approval of a total of 1.149 billion shares under the partial offer, equivalent to approximately 48.90% of the shares held by non-offeror and its concerted parties.
Therefore, as of 4:00 p.m. on the date of this joint announcement, the approval condition for the partial offer from independent shareholders has not exceeded 50% of the shares held by non-offeror and its concerted parties, and the approval condition is still pending.
Shareholders should note that as of the date of this joint announcement, the approval condition has not been met, and the partial offer will only become unconditional and declared in all respects upon the achievement of both the acceptance condition and the approval condition.
The partial offer will remain open for acceptance and approval until 4:00 p.m. on August 15, 2024 (i.e. the final deadline).
