On August 5th, Gelon Hui reported that Zhejiang Tony Electronic (603595.SH) has received notice from its controlling shareholder and actual controller, Mr. Shen Xinfang and Mr. Shen Xiaoyu, that Mr. Shen Xinfang signed a Share Transfer Agreement (the "Agreement") with Changfeng Private Equity Fund Management (Hainan) Co., Ltd. (representing the "Changfeng Yunyong 1 Private Equity Securities Investment Fund") (the "Changfeng Fund") on August 5, 2024, which provided for Mr. Shen Xinfang to transfer, by means of the Agreement, 13,900,000 shares of Zhejiang Tony Electronic (approximately 5.98% of the total issued share capital of Zhejiang Tony Electronic) held by him to the Changfeng Fund. The total transfer price (including tax price) for the share transfer is RMB 239,219,000. Mr. Shen Xinfang and Mr. Shen Xiaoyu also signed a Share Transfer Agreement with Hangzhou Tianying Private Equity Fund Management Co., Ltd. (representing the "Tianying Jucollection Enterprising Private Equity Securities Investment Fund") (the "Tianying Fund") on August 5, 2024, which provides for Mr. Shen Xinfang to transfer, by means of the Agreement, 4,842,500 shares of Zhejiang Tony Electronic (approximately 2.08% of the total issued share capital of Zhejiang Tony Electronic) held by him to the Tianying Fund, and for Mr. Shen Xiaoyu to transfer, by means of the Agreement, 9,057,500 shares of Zhejiang Tony Electronic (approximately 3.90% of the total issued share capital of Zhejiang Tony Electronic) held by him to the Tianying Fund. The total transfer price (including tax price) for the share transfer is RMB 239,219,000.
After this equity change, the company's controlling shareholder and actual controller, Mr. Shen Xinfang and Mr. Shen Xiaoyu, will hold a total of 85,874,602 shares of the company, accounting for 36.94% of the total share capital of the company, among which Mr. Shen Xinfang will hold 56,227,500 shares of the company, accounting for 24.19% of the total share capital of the company, and Mr. Shen Xiaoyu will hold 29,647,102 shares of the company, accounting for 12.75% of the total share capital of the company; Changfeng Fund will hold 13,900,000 shares of the company, accounting for 5.98% of the total share capital of the company; Tianying Fund will hold 13,900,000 shares of the company, accounting for 5.98% of the total share capital of the company.
