On September 8, 2020, DL Holdings GP (01709.HK) adopted a stock incentive plan, under which incentive shares can be granted to selected participants. The stock incentive plan aims to (i) recognize the contributions made by participants and reward them, thereby retaining relevant personnel for the group's ongoing operation and development, and (ii) attract suitable talents for the group's further development. According to the terms of the stock incentive plan, any aspect of the plan can be modified by resolution of the board of directors, but such modification shall not have a significant adverse effect on any outstanding rights to incentive shares that have not yet been awarded to any selected participant.
According to a resolution passed by the shareholders at that time, the company adopted a stock purchase plan ("Purchase Plan") on September 22, 2015. The Purchase Plan aims to enable the company to grant purchase rights to eligible participants under the Purchase Plan as a reward or return for their contributions to the group, allowing them to subscribe for shares and thereby link their interests with those of the group.
According to the terms of the Purchase Plan, any aspect of the plan may be amended from time to time by resolution of the board of directors, but such amendments shall not have an adverse effect on the issuance terms of any purchase rights that have been granted or agreed to be granted prior to such amendment. On August 6, 2024, the board of directors passed a resolution to amend the terms of the stock incentive plan and the Purchase Plan, so that the company can, at the discretion of the board of directors, pay incentive shares and purchase rights granted under the stock incentive plan and the Purchase Plan with shares held in the company's treasury stock.
Except for the above-mentioned revisions, other provisions of the stock incentive plan and the Purchase Plan remain unchanged.
