大众交通(600611.SH)：拟向国联证券出售所持民生证券股权并以标的资产认购国联证券新增发行A股

Dazhong Transportation (Group) Co., Ltd. (600611.SH) intends to sell its equity in Minsheng Securities to Guolian Securities and subscribe to the newly issued A-shares of Guolian Securities with the target assets.

On August 9th, Gelunhui reported that Dazhong Transportation (600611.SH) announced the signing of an agreement with Guolian Securities Co., Ltd. (referred to as 'Guolian') on the issuance of equity for the purchase of assets, which stipulated that the company intends to sell the target assets it holds in Minsheng Securities, totaling 220,426,157 shares, at a price of 575.8541 million yuan to Guolian Securities. Guolian Securities will pay for the consideration by issuing A shares at a price of 11.17 yuan per share (based on the 120 trading days prior to the announcement of the resolution of the 16th meeting of the fifth board of directors of Guolian Securities and the A-share trading average price of 11.31 yuan per share after the implementation of its 2023 equity distribution and ex-dividend price), and the company will subscribe to 51,553,631 newly issued A shares of Guolian Securities with the target assets (the number of shares issued shall be subject to the quantity registered with the China Securities Regulatory Commission).
