On July 22, 2024, Shanghai Aerospace Automobile Electromechanical (600151.SH) announced that on July 22, 2024, Hanking Aviation Controls, together with YER-Östwärmeaustauscher, officially signed the SPA and its annexes for the 100% equity transfer of Eschringe Luxembourg in Vienna, Austria. On July 26, Hanking Aviation Controls confirmed that it had received all equity payments. On the same day, Aerospace Automobile Electromechanical and Jilüao Group signed the debt payment documents, including the resolution of the target company's shareholders, the confirmation of equity transfer, and the proof of equity transfer. On July 28, the six companies paying off all the debt, including Hanking Aviation Controls, Eschringe South Korea and its subsidiaries, Estac and its subsidiaries, paid off all the debt, and on July 31, all of the debt was received. Therefore, Hanking Aviation Controls no longer controls Eschringe Luxembourg, and Eschringe Luxembourg is no longer included in Aerospace Automobile Electromechanical's consolidated financial statements. On August 9, 2024, both parties completed the delivery agreement.
As of the disclosure date, the Company did not provide guarantees for Eschringe Luxembourg, entrust Eschringe Luxembourg to manage the funds, or use the non-operating funds of the listed company. According to the financial department's calculation, the transfer of the 100% equity of Eschringe Luxembourg will affect the investment income of Aerospace Automobile Electromechanical's consolidated financial statements for 2024 by approximately RMB 38.75 million (the data has not been audited).
