Don't Ignore The Insider Selling In Booking Holdings

We wouldn't blame Booking Holdings Inc. (NASDAQ:BKNG) shareholders if they were a little worried about the fact that Susana D'Emic, the Senior VP recently netted about US$3.1m selling shares at an average price of US$3,615. That sale reduced their total holding by 12% which is hardly insignificant, but far from the worst we've seen.

The Last 12 Months Of Insider Transactions At Booking Holdings

Booking Holdings

Notably, that recent sale by Susana D'Emic is the biggest insider sale of Booking Holdings shares that we've seen in the last year. That means that even when the share price was slightly below the current price of US$3,619, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 12% of Susana D'Emic's stake.

Insider Ownership Of Booking Holdings

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. Booking Holdings insiders own about US$232m worth of shares (which is 0.2% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
